Scipher™ Terms of Use 

PLEASE CAREFULLY READ THESE TERMS OF USE (THE “TERMS”) BEFORE ACCESSING OR OTHERWISE USING THE SCIPHER DIGITAL DASHBOARD TOOL (THE “SERVICE”) PROVIDED BY VESTAS Wind Systems A/S (“VESTAS”) ON BEHALF OF ITSELF OR ONE OF ITS AFFILIATES. 

BY CLICKING A BOX INDICATING YOUR ACCEPTANCE OF THE TERMS OR BY OTHERWISE USING OR ACCESSING THE SERVICE (“ACCEPTANCE”), YOU (THE USER OF THE SERVICE) AGREE ON BEHALF OF YOURSELF AND THE COMPANY ON BEHALF OF WHOM YOU ARE USING THE SERVICE (“YOUR ORGANIZATION”) THAT YOU HAVE READ AND ARE BOUND BY THE TERMS. THE TERMS GOVERN YOUR USE OF THE SERVICE. 

YOU ARE RECEIVING THESE TERMS BECAUSE YOUR ORGANIZATION HAS ENTERED INTO AN AGREEMENT WITH EITHER VESTAS OR VESTAS’ AFFILIATE (COLLECTIVELY, “VESTAS”) REGARDING THE SERVICE (SUCH AGREEMENT, “THE SERVICE AGREEMENT”). 

These Terms are effective as an agreement entered into between the Vestas Contracting Entity and You as of the date of Acceptance (the “Effective Date”). Vestas reserves the right to change or modify the Terms or any portions thereof at any time. If Vestas does so, we will provide notice of such updates with a reasonable notice period. Continued use of the Services after the notice period constitutes your acknowledgment of the updated Terms. 

1. USE OF SERVICES. 

Login information. You agree not to disclose your login information to anyone else. You will be responsible for any actions taken by anyone with access to your login information. Please inform Vestas immediately if You discover that your login information has been made available to or accessed by anyone else. 

Restrictions and Responsibilities. You will not use the Service for any purpose other than for the internal business purposes of Your Organization or as may be further limited by the Service Agreement. You may not, directly or indirectly: (a) reverse-engineer, decompile, reverse- assemble, disassemble, create derivative works of the Service, or otherwise attempt to access, examine, reconstruct, inspect or discover the source code or the underlying ideas, methodology, processes or algorithms of the Service or any data or information contained in the Service, or in any manner decode the Service for any reason, except to the extent such restriction is prohibited by applicable law and such prohibition cannot otherwise be legally waived; (b) re-sell, grant any rights to third parties, lease, time-share, lend or rent the Service, (c) copy any features, functions or user interfaces or graphics/logo of the Service; (d) initiate denial of service (including DoS attack), interfere with or disrupt performance of the  Service or the data contained therein, or attempt to introduce malicious code, (e) introduce applications that interact with the Service or combine applications with the Service, in which said applications negatively affect the speed and performance of the  Service, (f) tamper with or attempt to tamper with security features of the  Service; and/or (g) copy, display, distribute, or modify any Scipher user manual or other documentation related to the  Service (“Documentation”), or use the documentation other than in connection with your use of the  Service in accordance with these Terms, (h) use the  Service in violation of applicable laws; (i) send or store in the  Service infringing, obscene, threatening, or unlawful or tortious material, including material that violates privacy rights; or (j) attempt to again access to the  Service or its related systems or networks in a manner not permitted by the documentation or by these Terms.  

  2. OWNERSHIP.  You acknowledge and agree that Vestas and/or its Affiliates shall own and retain all right, title, and interest in and to: (i) the  Service and to its confidential information and all improvements, enhancements or modifications thereto, whether or not developed based on any feedback ; (ii) any software, applications, inventions or other technology developed in connection with any support; and (iii) all intellectual property rights related to any of the foregoing. 

  3. TERM; TERMINATION. Your rights to use the Service will cease concurrently with any expiration or termination of the Service Agreement (or the term of the service provided thereunder). Vestas reserves the right to suspend the provision of the Service to You and/or terminate the Terms between You and Vestas in the event You breach any provision of the Terms or otherwise use the Service in any improper manner. 

 4. PRIVACY POLICY. Vestas and its affiliates’ use of personal data of authorized users will be subject to and governed by the privacy policy of Vestas, as such privacy policy may be amended from time to time.  The most up-to-date version of our Privacy Policy is available at all times via the following link: https://www.vestas.com/en/pages/privacy-policy .  

 5. GENERAL. You may not assign the Terms without Vestas’ prior written consent. Unless otherwise required by a mandatory law of another jurisdiction, the Terms will be governed by Danish law without regard to its choice-of-law or conflict principles. To the extent that these Terms expressly conflict with the Service Agreement, the terms of the Service Agreement shall prevail.
